1. About the WALTHER MOREIRA SALLES AWARD:
1.1. The WALTHER MOREIRA SALLES AWARD, henceforth in this Regulation just the “AWARD”, is a recognition initiative targeting strengthening the Itubers Culture by highlighting exceptional initiatives by Itaú Unibanco employees in Brazil and in the International Units.
1.1.1. The AWARD has 5 (five) categories, inspired in the Itubers Culture:
(I) WE WORK FOR THE CLIENT: covers initiatives based on actual needs and that stood out for promoting innovation, simplifying the experience and enchanting our customers.
(II) WE ARE DRIVEN BY RESULTS: covers initiatives that were ambitious in their objectives and efficient in their delivery, generating results above the normal for Itaú or drove above the market growth, in a responsible and sustainable manner.
(III) WE GO AS A GROUP: covers initiatives that have contributed in in a differentiated manner towards our commitment of increasingly being “One Itaú”, in trusting, working with autonomy, helping and asking for help.
(IV) WE GENERATE POSITIVE IMPACT FOR SOCIETY: covers initiatives that, through our business, address social and environmental issues and promote diversity and inclusion.
(V) ITAÚ LATAM: specific category for the initiatives of the Latin American units. The initiatives enrolled here must also address the PWMS themes (client, result, go as a group and positive impact) described above.
1.2. Elegibility
1.2.1. All employees of Itaú Unibanco, Brazil and the International Units are eligible, except for directors.
1.2.1.1 The inclusion of interns as part of the members of the initiative must respect the rules described in the internal policy regarding the internship program (PR-756), such as: workload, layoffs for academic reasons, functions prohibited to this audience (managerial activities, replacement of absent employees and business intermediation on behalf of the company), among others. Participation in the initiative should be proportional to the trainee's workday.
1.2.1.2 The inclusion of Young Learners as part of the members of the initiative must respect the rules described in the internal policy regarding the internship program (PR-852), such as: workload, functions prohibited to this audience (exemplified in the policy), among others. Participation in the initiative should be proportional to the workday of the young apprentice.
1.2.2. In case of promotion of an employee enrolled in the AWARD to the function of director or above, their participation will be prohibited, and leaders of initiatives (see item 2.2) may appoint a substitute employee, if they so wish.
2. PROJECT ENROLLMENTS
2.1. Enrollment/Indication Period
2.1.1. Project enrollments will take place between May 14 and 30, 2025.
2.1.2. The dates may be changed at any time, according to the needs of the organization, provided that they are communicated by the AWARD management area.
2.2. Forms of Enrollment:
2.2.1. To compete in the categories indicated, Itaú Unibanco employees, including employees of the International Units, up to the superintendent or equivalent level, must enroll in accordance with the rules set forth in these Regulations.
2.2.2 Up to 10 (ten) participants may be registered per initiative. After enrollment, amending the for mis no longer possible, the project leadership and/or the participants of the initiative, except for reasons of dismissal, or leaves for any reason. To do so, contact the "Walther Moreira Salles Award" email. The deadline for submitting change requests is up to the date of the evaluation of members (member screening).
2.2.2.1. Initiatives enrolled having more than 10 (ten) participants will be disqualified.
2.2.2.2. Enrollment must be made only by one of the participants of the initiative, who must register the name of up to nine more participants. At the time of enrollment, the representative must appoint a leader, who will be allowed to edit the enrollment. The other members of the group, when accessing the system, can only view it.
2.2.2.3. Employees enrolled in more than 1 (one) initiative must inform representatives of the initiatives and the Award management area, the initiative in which they wish to remain, under penalty of being disqualified.
2.2.2.4. The committees of the executive areas may also enroll, amend and/or eliminate through nomination, initiatives in the 5 (five) categories of the Award.
2.2.2.5. The nominations by the committees of the executive areas follow the same rules defined for enrollments made directly by the employees, that is, they have the same eligibility and evaluation criteria described in this regulation.
2.2.3. Enrolling the same employee in more than one initiative is forbidden.
2.2.4. The enrollment of the initiative must be carried out electronically, through the hot site of the AWARD - www.premiowalther.com.br.
2.2.4.1 Enrollments can be made in Portuguese, English or Spanish.
2.2.5. Correctly filling in all the fields of the registration form is mandatory, under penalty of disqualification.
2.2.6. The initiative can only be entered once and in only one category.
2.2.6.1. Registering the same initiative in more than one category is forbidden.
2.2.6.2. If the same initiative is entered more than once in the same category, the representatives responsible for the entries will be contacted by the Award management area to jointly decide which entry will prevail, under penalty of disqualification.

2.2.7. Only initiatives that have been implemented and have demonstrated results up to the month prior to the start of registration will be accepted.
2.2.8. Entries made by means other than those provided for in this regulation will not be accepted.
2.3. All participating initiatives must be enrolled in the correct category, through the form available on the AWARD hot site, and must, mandatorily, contain a detailed description of all the fields provided for in this form.
2.4. Registration in the AWARD implies adherence and acceptance of all the terms of this regulation.
3. OF THE CATEGORIES OF PROJECTS - STAGES
3.1. The AWARD consists of 3 (three) stages: enrollment, assessment, and recognition of the winning initiatives in on site event.
3.1.2 Projects receive institutional communications from the award management team informing whether or not they have passed the stages provided for in the Walther Moreira Salles Award schedule.
3.1.2. Enrollment:

3.1.3. Assessment:
(i) Evaluation by the Executive Committee (EC)
Analysis of the initiatives by committees comprised of the Executive Committee and People Consultancy according to each department accountable.
(ii) Technical benches:
Implemented since 2023, at this stage, Itubers appointed from the Audit, Finance, Compliance, and Investor Relations areas evaluate the evidence of the results reported in the registration of the initiatives.
(iii) Screening [Shareholders]
Itaú's shareholders (up to the superintendent level) evaluate the initiatives individually, on an online platform, scoring the different items of our culture. The initiatives with the 5 (five) best evaluations in each category move on to the next phase (semifinal). The information is not shared at any time with the voting public of each phase, and the vote is confidential.
(iv) Semifinal [Directors]
The directors (except shareholders of the holding) watch, in a live presentation on Teams, videos on the semifinalist initiatives. Then, the representatives of the initiatives answer any questions. Through secret and individual voting, the initiatives voted the 3 best in each category are chosen and move on to the final stage. The information is not shared at any time with the voting public of each phase, and the vote is confidential.
(v) Final [Executive Committee + Holding Shareholders + Invited Directors]
The evaluation group, composed of: Executive Committee, Pedro Moreira Salles, Roberto Setúbal and holding partners, watch videos of the finalist initiatives, in a synchronous live event via Microsoft Teams. Then, the representatives of the initiatives answer any questions. Through secret and individual ballot, the winners of each category are chosen. The information is not shared at any time with the voting public of each phase, and the vote is confidential.
3.1.4 Award ceremony:
(i) The announcement of the winners will be held at an on-site awards event, with date and place to be announced in due course in a timely manner in the institutional communications made by the award management area and the Endo-marketing team.
3.2. The evaluation phases of the AWARD
3.2.1. Compliance with the evaluation agendas, on the dates established in due time and previously communicated by the AWARD management area, is the sole responsibility of the chosen representatives of each initiative, under penalty of disqualification.
3.2.1.2. The dates defined and disclosed may change, at any time, by decision of the AWARD management area.
3.3. The committee of assessors of the AWARD will be composed, at the discretion of the management area, by as many members as are necessary for the proper evaluation of the projects.
3.4. The participants of the initiatives classified for the 2nd and 3rd phases of evaluation of the AWARD will be informed by the AWARD management area and must follow the instructions communicated.
3.6. The AWARD management area may, at any time, request documents, materials or additional information necessary to support the evaluation or proof of any information provided by the participants.
3.7. Participants must comply with the requests of the AWARD organizing area within the established and advised deadline, under penalty of disqualification.
3.8. The finalist participants of each category may participate in the award event referred to in item 3.1.4(i) of this regulation.
3.9 The award takes the recognition/experience of Ituber on the day of the Awards ceremony and a statuette for the winners as reward, without the offer of other types of bonuses.
3.10 To ensure the comfort and safety of all participants, bringing instruments that produce excessive noise, such as whistles, vuvuzelas and other items of that nature is forbidden.
4. ASSESSMENT CRITERIA
4.1 Practical criteria drivers by category/theme
Cross-functional questions, for all categories:
(i) Is the initiative adherent to the Itubers Culture?
(ii) Has the initiative managed and/or mitigated current and/or future risks of the organization?
(iii) Did the initiative make Itaú stand out in the market and against competitors in this category?
4.1.1 We work for the client
(i) Clear demonstration of the needs met by the initiative (ideally qualifying them quantitatively and/or qualitatively).
(ii) Impact on metrics that prove customer delight and/or validation (e.g., NPS, CSAT, Average Service Time, Churn Reduction, Abandonment Rate Reduction, Customer Score, etc.).
(iii) Proof that we are offering a better solution that differentiates itself from competitors.
4.1.2 We are driven by results
(i) Results of the Project enrolled should already be observable and relevant.
(ii) Efficient use of resources and reuse of solutions.
(iii) Focus on sustainable growth and business evolution, not just short-term results.
4.1.3 We generate a positive impact for society
(i) Metrics that prove relevant social or environmental impact.
(ii) Structuring solution, with potential for scale or replicability of the solution.
(iii) Demonstration of recognition of the impact generated by external stakeholders.
4.1.4 We go as a group
(i) An initiative that not only reinforces our commitment to "One Itaú", but also proves in a special way the value of "we go as a group".
(ii) Demonstration of the contribution of the parties, reflected in the group enrolled.
(iii) Results, solutions or improvements for customers and/or Itubers that were only possible thanks to collaboration among different businesses.
5. DISCLOSURE OF THE AWARD
5.1. The announcement of the winners will only be made at the award event, as defined in item 3.1 of these Regulations, at the venue to be subsequently informed by the AWARD management area.
5.2. Itaú Unibanco, for itself or through third parties, may disclose the AWARD, as well as its results, during and/or after its processing, at its sole discretion, including through the AWARD hot site (www.premiowalther.com.br) and by any other physical, virtual, sound, electronic and digital media and means, including but not limited to any Internet sites, including social media, printed materials, books, brochures, inserts, banners, magazines, newspapers, institutional reports, newsletters, CD, DVD, audiovisual works, television, cinema, radio, as well as in any materials, media and intellectual works of any nature.
5.3. The participants of the AWARD, on enrolling, grant Itaú Unibanco, both in Brazil and in the International Units, on a non-exclusive, free, irrevocable and irrevocable basis, authorization to use, by themselves or by third parties, their personal data rights (such as full or abbreviated civil name, image, voice, interviews, professional data, testimonials, etc.). ("Rights") to carry out the implementation and dissemination of the AWARD and its results, in Brazil and abroad, by any means or form, including in the cases provided for in item 5.3 of this regulation, without any restriction on the number of copies, number of print runs, emissions, transmissions, retransmissions, editions, reissues, placements and/or disclosures. To this end, Itaú Unibanco may also:
(i) fix and reproduce (including by means of capturing images and/or images and sounds, especially photographs, audio recordings, audiovisual works or similar processes) the rights in any physical, virtual, sound, electronic and digital media.
(ii) distribute and disseminate the materials and media indicated in this regulation, including in paragraph "i" above that reproduce the rights to any person and in any place, including the press, employees of Itaú Unibanco and companies belonging to the Itaú Unibanco conglomerate, in Brazil and abroad and to any third parties.
5.5. The authorization referred to in item 6.4 will be valid and effective in Brazil and abroad, for a period of 3 (three) years, from the date of enrollment in the AWARD, being automatically renewed for equal and successive periods. If either party does not wish to renew the authorization, it must communicate its intention to the other party in writing within 20 (twenty) days prior to its final term.
5.6. Itaú Unibanco waives any and all liability for any misuse by third parties of the Rights and any media in which they are included, including through their reproduction on Internet sites, including blogs and virtual communities of any nature.
5.7. Itaú Unibanco may allow the Rights to be used by any companies directly or indirectly controlled by Itaúsa- Investimentos Itaú S.A. and by any entities or foundations that have any of these companies as sponsors, provided that for the exclusive purpose of implementing and disseminating the AWARD, including its results, the award event and any other actions, activities and/or initiatives related to the AWARD.
6. USE AND TREATMENT OF DATA
6.1 To access the platform, users must log in by providing some personal information to create a registry (corporate email and date of admission). Employee, area and position data are on the supplier's private server (Magic Network) and are automatically provided.
6.2 The supplier is approved by Itaú Unibanco, fulfilling all the basic requirements. The platform undergoes the tests required by the Information Security area.
6.3 The data filled in the registration form will be used only for the Walther Moreira Salles Award, and, eventually, specific Culture actions.
6.4 A data deletion flow will be established at the end of the evaluation process.
6.5 Internal channels to guarantee rights provided for in the LGPD.
7. FINAL PROVISIONS
7.1. Any and all expenses necessary for the attendance and participation of any member of the groups in the face-to-face presentations and in the awards event provided for in item 3.1 of this regulation (including transportation, air tickets, food and lodging), will be fully and exclusively borne by the area in which the participant is allotted.
7.2. The members of the group of assessors of the AWARD, in all stages of assessment, will have complete, total and exclusive autonomy, and there is no appeal of any kind to their decisions.
7.3. Situations not provided for in this regulation will be analyzed and decided by the AWARD management area.
7.4. Itaú Unibanco may change these Regulations, including any dates, stages, locations, events or forms of disclosure provided herein, at any time and at its sole discretion. Such changes will take effect from the date of disclosure of the amended regulation on the AWARD hotsite or institutional notice.
